American Electric Power Company, Inc. ("AEP") and AEP
Investments, Inc. ("AEPI"), a subsidiary of AEP, hereby amend their
Application or Declaration on Form U-1 in File No. 70-8489 as
follows:
By adding the following sentences at the end of D. Hi-Star
under ITEM 1. DESCRIPTION OF PROPOSED TRANSACTIONS, as follows:
"AEPI, however, will not enter into any modification or
other arrangement under which AEPI would acquire any type
of security of Holtec which is different from that
described herein. In addition, in no event will AEPI or
any affiliates thereof exercise any 'controlling
influence' over Holtec within the meaning of the Act.
AEPI will account for its investment in Account 124-Other
Investments. It will amortize such investment utilizing
the units of revenue method consistent with Emerging
Issues Task Force Issue No. 88-18. Holtec has determined
that no liability will be carried on its audited
financial statements and that proceeds it receives would
be considered as revenue and part of its gross income."
