American Electric Power Company, Inc. ("AEP") hereby amends
its Declaration on Form U-1, in File No. 70-5943, as heretofore
amended, as follows:
1. To restate the last paragraph of ITEM 1. DESCRIPTION OF
PROPOSED TRANSACTION as follows:
CERTIFICATES OF NOTIFICATION
Pursuant to previous authorization in this file,
Certificates of Notification under Rule 24 shall be filed
quarterly, within 60 days of the end of each calendar
quarter, with respect to the issuance and sale of AEP
common stock pursuant to the DRP.
2. By adding a new Item 4 as follows:
ITEM 4. REGULATORY APPROVAL
No state or federal commission, other than the Securities
and Exchange Commission, has jurisdiction over the
proposed transctions.
