Doskocil Companies Incorporated, a Delaware
corporation (the "Company"), is registering rights (the
"Rights") to purchase shares of the Company's common
stock, $.01 par value per share. A description of the
Rights is set forth in the Company's final prospectus,
dated September 19, 1994, contained in the Company's
registration statement on Form S-3 (File no. 33-54137)
filed with the Securities and Exchange Commission on
September 19, 1994, pursuant to the Securities Exchange
