On August 8, 2000, a duly authorized Committee (the "Terms Committee") of the Board of Directors of American General Corporation (the "Company") authorized the issuance in an underwritten public offering of $250,000,000 aggregate principal amount of the Company's 7 1/2% Notes Due 2010 issued pursuant to the Senior Indenture dated as of November 15, 1997 between the Company and Bankers Trust Company, as Trustee (the "Notes") under the Company's previously filed Registration Statement on Form S-3 (Registration Nos. 333-40583, 333-40583-01, 333-40583-02, 333-40583-03 and 333-40583-04) (the "Registration Statement") and the related Prospectus dated February 10, 1998 and Prospectus Supplement dated August 8, 2000
