The Annual Meeting of the shareholders of Investors
Research Fund, Inc. (the "Fund") was held on
March 28, 2000, at 11:00 a.m. local time at The
Santa Barbara Four Seasons Biltmore Hotel, 1260
Channel Dr., Santa Barbara, California, for the
following purposes:
1. To elect a Board of Directors to serve until the
next annual meeting of shareholders and until their
successors are elected and qualified;
