Pursuant to Rule 477(a), Registrant hereby requests that the filing
transmitted on January 26, 1994, and described on its cover as
Post-Effective Amendment No. 34 (File No. 2-76193) be withdrawn.

This filing was inadvertently filed under IDS Certificate Company -
IDS Installment Certificate EDGAR filing number 2-76193 versus the
correct Series D-1 Investment Certificate EDGAR file number 
2-55252.  There were portions of Part II that were also missing in
the filing.  Therefore, Registrant respectfully requests to
withdraw Post-Effective Amendment No. 34 and intends to immediately
file Post-Effective Amendment No. 34 under the appropriate
registration which is IDS Series D-1 Investment Certificate (file
no. 2-55252).  The Certificate Company Board of Directors elected a
new chairman and president after Amendment No. 34 was filed on
January 26, 1994.  These changes are reflected on the signature
pages for the new Post-Effective Amendment No. 34.  New Powers of
Attorney also are included.

Please note that Post-Effective Amendment No. 11 (File No. 2-76193)
for IDS Installment Certificate remains pending.
