The undersigned registrant hereby amends its Registration Statement on Form 8-A
for the registration of its Series A Preferred Stock Purchase Rights pursuant
to Section 12(g) of the Securities Exchange Act of 1934, as amended, which
Registration Statement became effective on October 18, 1988, to report the
following change of Rights Agent:
NBD Bank, N.A. has resigned as Rights Agent under the Rights Agreement dated as
of October 4, 1988, a copy of which was attached as Exhibit 1 to the
Registration Statement, effective at the close of business on May 31, 1994.
The registrant has appointed Norwest Bank Minnesota, National Association, a
national banking association, as successor Rights Agent under said Rights
Agreement, and Norwest Bank Minnesota, National Association, has accepted
appointment as successor Rights Agent, effective June 1, 1994.
A copy of the Change of Rights Agent, setting forth the foregoing, is attached
as Exhibit 1 hereto.
Pursuant to the requirements of the Securities Exchange Act of 1934, the

Resignation of Rights Agent
NBD BANK, N.A., a national banking association, hereby resigns as
Rights Agent under Rights Agreement dated as of October 4, 1988, between
JACOBSON STORES INC., a Michigan corporation, and MANUFACTURERS NATIONAL BANK
OF DETROIT, as original Rights Agent, effective at the close of business on May
31, 1994.

Appointment of Successor Rights Agent
JACOBSON STORES INC., a Michigan corporation, hereby appoints NORWEST
BANK MINNESOTA, NATIONAL ASSOCIATION, a national banking association, as
successor Rights Agent under Rights Agreement dated as of October 4, 1988,
between JACOBSON STORES INC. and MANUFACTURERS NATIONAL BANK OF DETROIT, as
original Rights Agent, effective June 1, 1994. Pursuant to Section 21 of the
Rights Agreement, the successor Rights Agent shall be vested with the same
powers, rights, duties and responsibilities as if it had been originally named
as Rights Agent, without further act or deed.

Acceptance of Appointment
