The Company is in ongoing discussions with the Division of Corporate
Finance regarding the appropriateness of the Company's consolidation of its
principal subsidiary. Depending on the outcome of those discussions, the
Company may be required to restate its financial statements for certain
periods. These discussions involve complex legal and accounting issues and
no amount of additional effort or expense by the Company would allow the
Company to file the Form 10-K by the prescribed date, and still minimize the
risk of restatement of its accounts shortly after filing. The Company will
in any case file its Annual Report on Form 10-K within fifteen days of the
prescribed due date.
