     KENTUCKY POWER COMPANY ("Kentucky"), Ashland, Kentucky, hereby
certifies, in connection with the declaration on Form U-1 in the
above-entitled matter, that certain of the transactions specified
in said declaration, as amended (the "Declaration"), have been
carried out in accordance with the terms and conditions of and for
the purposes represented by the Declaration and the Order of the
Securities and Exchange Commission in HCAR 35-24198 with respect
thereto, dated September 24, 1986, as follows:
     1.   On April 23, 1991, the Board of Directors of Kentucky
duly authorized the execution of a bill of sale transferring
Kentucky's interest in three thousand five hundred ninety-one
(3,591) wooden distribution poles (the "Poles") to South Central
Bell Telephone Company for a total consideration of $1,055,890.00.
     2.   On February 25, 1993, the Board of Directors of Kentucky
duly authorized the execution of a bill of sale transferring
Kentucky's interest in one thousand seven hundred ninety-nine
(1,799) wooden distribution poles (the "Poles") to South Central
Bell Telephone Company for a total consideration of $715,282.00.
     3.   On August 26, 1993, the Board of Directors of Kentucky
duly authorized the execution of a bill of sale transferring
Kentucky's interest in one thousand four hundred (1,400) wooden
distribution poles (the "Poles") to South Central Bell Telephone
Company, for a total consideration of $390,173.00.
     4.   A "past tense" Opinion of Counsel will be filed at the
conclusion of the series of transactions authorized by the Order
issued in this proceeding.
     5.   The transactions described herein were consummated within
the period designated in the Declaration and the Order.
