IN RE:    APPLICATION OF KINGSPORT POWER COMPANY 
          FOR PERMISSION TO MAKE NOTES TO EVIDENCE 
          INDEBTEDNESS NOT TO EXCEED $5,000,000

               DOCKET NO.  94-00459


                              ORDER


     This matter is before the Tennessee Public Service
Commission upon the application of Kingsport Power Company as 
set forth in the above caption.
     This matter was considered at the Commission Conference on
March 15, 1994, pursuant to public notice, as required by Chapter
442, Public Acts 1974.
     This Commission previously authorized Kingsport Power
Company, by Orders dated October 29, 1982, December 6, 1982 
and February 29, 1984 in Docket No. U-82-7195, Order dated
September 24, 1985 in Docket No. U-85-7390, and Order dated
January 13, 1992 in Docket No.  92-08757 to enter into a Bank
Loan Agreement and amendments thereto (the "Agreement") pursuant
to which Kingsport Power Company has outstanding short-term
unsecured borrowings in an aggregate amount of $6,225,000.
     Kingsport Power Company now proposes to reduce its short-
term unsecured borrowings, with proceeds of new bank borrowings
to be evidenced by the unsecured promissory note or notes of
Kingsport Power Company bearing interest at a fixed rate, a
fluctuating rate or some combination of fixed and fluctuating
rates.  Accordingly, Kingsport Power Company proposes to issue up
to $5,000,000 principal amount of its unsecured promissory note
or notes to one or more commercial banks pursuant to a proposed
Term Loan Agreement in form substantially as that attached to the
Application (the "Proposed Agreement").
     Under T.C.A. Sec. 65-4-109, this Commission must approve the
proposed loan if it "is to be made in accordance with law and the
purpose of such be approved by the Commission."
     It is the opinion of this Commission that this financing has
been prepared in accordance with sound financial plans for legal
purposes and will be in the public interest.
     IT IS THEREFORE ORDERED:
     1.  That Kingsport Power Company be, and the same is hereby
authorized, to make notes in an amount not to exceed $5,000,000
from time to time through June 30, 1995 to evidence the
borrowings pursuant to the Proposed Agreement and to enter into
the Proposed Agreement substantially in the form attached to the
Application.
     2.  That the terms of said notes shall be as described in
the Application.
     3.  Any party aggrieved with the Commission's decision in
this matter may file a petition for reconsideration with the
Commission within ten (10) days from and after the date of this
Order.
     4.  That any party aggrieved with the Commission's decision
in this matter has a right of judicial review by filing a
Petition for Review in the Court of Appeals for the Middle
Division of Tennessee within sixty (60) days from and after the
date of this Order.
