This Amendment No. 19 to Schedule 13D on Kollmorgen
Corporation (the "Issuer") is being filed on behalf of the
undersigned to amend the Schedule 13D, as amended (the "Schedule
13D") which was originally filed on December 1, 1989. Unless
otherwise indicated, all capitalized terms used herein but not
defined herein shall have the same meaning as set forth in the
Schedule 13D.
Item 5. Interest In Securities Of The Issuer
(a) The aggregate number and percentage of Securities to
which this Schedule 13D relates is 2,617,367 shares and represents
26.59% of 9,842,805 shares. This latter number of shares is
arrived at by adding the number of shares reported as being
outstanding in the Issuer's most recently filed Form 10-Q, dated
August 10, 1994 (9,641,538 shares) to the number of shares which
would be receivable by the Reporting Persons if they were to
convert all of the Issuer's Convertible Debentures held by them
(201,267 shares) into the common stock of the Issuer. However, at
current market prices it would be uneconomic for any person to
convert any of such Convertible Debentures and that substantially
all such Convertible Debentures and not just those held by the
Reporting Persons would be converted if it became economic to do
so. Accordingly the Reporting Persons believe that the percentage
of beneficial ownership attributable to them under the rules of the
SEC are artificially high and that a more realistic percentage of
their aggregate economic interest, which does not take into account
the conversion of such Convertible Debentures, would be 25.06%. In
addition, the Reporting Persons' combined voting power is 21.26% of
all eligible voting shares outstanding.
The Reporting Persons beneficially own the Securities as
follows:
Shares of % of Shares of % of
Common Class of Common Stock, Class % of
Name Stock Common Converted Converted vote
GFI:
As Principal 0 0.00% 0 0.00% 0.00%
As Agent 264,000 2.74% 308,684 3.13% 2.32%
GAMCO 1,940,100 20.13% 2,096,683 21.30% 17.08%
GSI 500 0.01% 500 0.01% 0.00%
GPP 153,000 1.56% 153,000 1.56% 1.35%
GIL 47,000 0.48% 47,000 0.48% 0.41%
Mario J. Gabelli 11,500 0.11% 11,500 0.11% 0.10%
Mr. Gabelli is deemed to have beneficial ownership of the
Securities beneficially owned by each of the foregoing persons and
GFI is deemed to have beneficial ownership of the securities owned
beneficially by each of the foregoing persons other than Mr.
Gabelli.
(b) Each of the Reporting Persons and Covered Persons has
the sole power to vote or direct the vote and sole power to dispose
or to direct the disposition of the Securities reported for it,
either for its own benefit or for the benefit of its investment
clients or its partners, as the case may be, except that GAMCO
Investors, Inc. does not have authority to vote 141,000 of the
reported shares, and except that GFI shares with the Board of
Directors of The Gabelli Asset Fund, The Gabelli Growth Fund, The
Gabelli Convertible Securities Fund, The Gabelli Global
Telecommunications Fund, The Gabelli Global Interactive Couch
Potato, The Gabelli Global Convertible Securities Fund, Gabelli
Gold Fund, The Gabelli ABC Fund, The Gabelli Equity Trust Inc., The
Gabelli Value Fund Inc., The Gabelli Small Cap Growth Fund and/or
The Gabelli Equity Income Fund voting power with respect to the
308,684 shares held by such funds, so long as the aggregate voting
interest of all joint filers does not exceed 25% of the issuers
total voting interest and, in that event, the Proxy Voting
Committee of each fund (other than The Gabelli Growth Fund) shall
respectively vote that funds shares, and except that the power of
Mr. Gabelli and GFI is indirect with respect to Securities
beneficially owned directly by other Reporting Persons.
