The limited financial resources of Registrant has hindered the
retention of sufficient personnel to both timely prepare accounting support
information and detail required for the independent audit of its financial
condition and to continue its business. This circumstance has delayed the
completion of the audit and, therefore, the completion of the items omitted
from the Form 10-KSB as forwarded for filing.

Operating results for fiscal 1998 (loss of about $411,000) and fiscal
1999 (loss of about $490,000) are expected to be approximately the
same. However, other income of about $966,000 for 1999 from
extraordinary transactions (the sale of real estate and forgiveness of
indebtedness) is expected to result in stated income for 1999 of
approximately $476,000.
