GENERAL INSTRUCTION
1. This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the
General Rules and Regulations under the Securities Exchange Act of
1934.
2. One signed original and four conformed copies of this form and
amendments thereto must be completed and filed with the Securities and
Exchange Commission, Washington, D.C. 20549 in accordance with Rule
0-3 of the General Rules and Regulations under the Act. The
information contained in or filed with the form will be made a matter
of public record in the Commission files.
3. A manually signed copy of the form and amendments thereto shall be
filed with each national securities exchange on which any class of
securities of the registrant is registered.
4. Amendments to the notifications must also be filed on form 12b-25 but
need not restate information that has been correctly furnished. The
form shall be clearly identified as an amendment notification.

PART III - NARRATIVE
Form 10-Q cannot be submitted because: (1) systemic problems continue as a
hindrance to preparation of the 10-Q; and, (2) the accounting department is
understaffed.
PART IV - OTHER INFORMATION
There will be significant changes in net revenue and net income between the
second quarters ended June 30, 1999, and June 30, 2000. Net sales will decline
from $3,006,000 to an estimated $150,000, respectively. The net loss for the
second quarter of 1999 was $1,205,000. While systemic problems make estimation
of the net loss difficult for the corresponding quarter of 2000, it is very
likely that the loss narrowed significantly. Cumulatively for the first-half
ended June 30, 1999, net revenues were $5,740,000, against such revenues for
the first-half ended June 30, 2000, of an estimated $370,000. While the net
loss for the first half of 1999, was $1,427,000, for reasons already pointed
out, estimation of the cumulative loss is difficult for the corresponding
period of 2000, although it will most likely be lower than that of 1999.
