Item 1. Description of Registrant's Securities to be Registered
The Registrant has filed a Registration Statement (Registration
Statement No. 33-52963), (the "Registration Statement") under the Securities
Act of 1933, as amended, and a Prospectus dated April 19, 1994 and a
Prospectus Supplement dated June 7, 1994 (the "Prospectus"), relating to
$100,000,000 of General and Refunding Bonds 7-5/8% Series Due 1998 and
$185,000,000 of General and Refunding Bonds 8-5/8% Series Due 2004
(collectively, the "Bonds"). The Registration Statement thereto became
effective on April 19, 1994.
The description of the Bonds is set forth in the Prospectus
and incorporated herein by reference.

1. Twenty-seventh Supplemental Indenture dated as of June
1, 1994, to the Company's G&R Indenture dated as of June 1,
1975, authorizing the issuance of the Bonds (a form of which was
filed as Exhibit 4(a) to the Company's Registration Statement on
Form S-3 (Registration Statement No. 33-52963) relating to the
Bonds).
