Item 1. Description of Registrant's Securities to be Registered.
This Registration Statement relates to shares of $3.25 Convertible
Exchangeable Class C Preferred Stock, Series 2 ("Series 2 Preferred"),
previously issued by LSB Industries, Inc. (the "Registrant"). The information
required by this item is contained in the Registrant's Amendment No. 2 to Form
S-2 Registration Statement, No. 33-61640 ("Registration Statement"), filed
with the Securities and Exchange Commission ("Commission") on May 18, 1993,
and declared effective by the Commission on May 19, 1993, and the prospectus
subsequently filed by the Registrant with the Commission relating to the
Series 2 Preferred pursuant to Rule 424(b) of the Securities Act of 1933, as
amended, which Registration Statement and prospectus are incorporated herein
by reference.
There has been an established public trading market for the Series 2
Preferred since May 19, 1993. The principal market for such Series 2 Preferred
has been the over-the-counter market in the pink sheets. The following table
gives an estimate as to the high and low range of the bid information as to to
the Series 2 Preferred during each calendar quarter of 1993 (since May 19, 1993)
and 1994 and the first two (2) quarters of 1995 through June 8, 1995, according
to information supplied by Lazard Freres & Co., which estimates were based on
actual sales. These quotations do not include markups, markdowns or
commissions.
