This Amendment No. 6 to Schedule 13D ("Amendment No. 6") should be read in
conjunction with the Schedule 13D (the "Schedule 13D"), Amendment No. 1 thereto,
Amendment No. 2 thereto, Amendment No. 3 thereto, Amendment No. 4 and Amendment
No. 5 thereto dated March 1, 1996, May 28, 1996, June 20, 1996, August 14, 1996,
and February 7, 1997, respectively, and filed with the Securities and Exchange
Commission by DDJ Capital Management, LLC., a Massachusetts limited liability
company ("DDJ"), and certain affiliates relating to the common stock, par value
$.0l per share (the "Common Stock" or the "Shares"), of Ames Department Stores,
Inc. a Delaware corporation (the "Issuer" or the "Company"). This Amendment No.
5 amends the Schedule 13D and Amendment Nos. 1, 2, 3, 4 and 5 only with respect
to those items listed below. All capitalized terms not otherwise defined herein
shall have the meanings ascribed thereto on the Schedule 13D and Amendment Nos.
1, 2, 3, 4 and 5.
The filing of this Amendment No. 6 is not, and should not be deemed to be,
an admission that the Schedule 13D or any Amendment thereto is required to be
filed.
As of March 21, 1997, DDJ and the DDJ Affiliates beneficially own less
than 5% of the Shares outstanding and from such date will no longer be required
to file on Schedule 13D. This filing speaks as of March 21, 1997 and does not
make any statements with respect to any day following such date.

Item 3. Sources and Amount of Funds or Other Consideration:
Item 3 is deleted in its entirety and amended as follows:
As of March 21, 1997, the Funds and/or Advisory Account which own or owned
Shares purchased in the aggregate 850,150 Shares for cash in the amount of
approximately 3,582,762.96 including brokerage commissions. All of the 63,340
Shares of common stock owned by The Copernicus Fund, L.P. were purchased for
cash or on margin pursuant to a typical customer margin agreement with Goldman
Sachs & Co.; all of the 722,110 Shares owned by DDJ Overseas Corp. were
purchased for cash or on margin pursuant to a typical customer margin agreement
with Goldman Sachs & Co; all of the 10,000 shares owned by The Galileo Fund,
L.P. were purchased for cash; and all of the 27,350 shares owned by Kepler
Overseas Corp. were purchased for cash or on margin pursuant to a typical
customer margin agreement with Goldman Sachs & Co.
During the period from February 14, 1997 to March 21, 1997, the Funds and/
or Advisory Account sold 451,600 Shares. The attached Schedule B sets forth
Shares purchased and/or sold by the Funds and/or Advisory Account since
February 14, 1997.
Item 5. Interest in Securities of Issuer:
Paragraph (a) of Item 5 is amended as follows:
(a) As of March 21, 1997 DDJ Overseas Corp. owns, and DDJ Galileo, LLC and
DDJ beneficially own as majority shareholder and investment manager,
