MacDermid Imaging Technology, Inc. 401(K) and Profit Sharing Plan

The filing of our Form 11-K for the referenced Plan will not be made by
August 31, 1999 due to a delay in reconciling the records following the
merger of the referenced plan into the MacDermid Incorporated Employee
Profit Sharing and Stock Ownership Plan. Consequently, the preparation
of the financial statements and the audit thereon has been delayed. It is
our intention to have the reports filed within 15 days.
