filed by Boral Limited ("Boral"), SAGASCO, SAGASCO NT and Amadeus (the
Original Schedule 13D as so amended being hereinafter referred to as the
"Schedule 13D") with respect to shares of Common Stock, par value $.01 per
share ("Shares"), of Magellan Petroleum Corporation, a Delaware corporation
(the "Company"). Based on information as to the number of outstanding
Shares set forth in the Company's quarterly report on Form 10-Q for the
period ending September 30, 1995 (the "Company 10-Q"), each of SAGASCO,
SAGASCO NT, Amadeus and Boral believes that it does not beneficially own
(as such term is defined in the rules and regulations promulgated under
Section 13(d) of the Securities Exchange Act of 1934, as amended) more than
five percent of the outstanding Shares. As a consequence, this Amendment
is their final amendment to the Original Schedule 13D.
Item 5. Interest in Securities of the Subject Company.
Item 5 of the Schedule 13D is hereby amended and supplemented
as follows:
Based on information contained in the Company 10-Q, each of
Boral, SAGASCO, SAGASCO NT and Amadeus may be deemed to beneficially own
the number of Shares and the percentage of outstanding Shares listed in
response to Item 11 and Item 13 of the cover page filed herewith relating
to such person. In addition, the number of Shares which may be

deemed beneficially owned by each such person with respect to which such
person (i) has sole voting power, (ii) shares voting power, (iii) has sole
dispositive power and (iv) shares dispositive power, are listed in the
responses to Items 7, 8, 9 and 10, respectively, of the cover page filed
herewith relating to such person.
Set forth on Schedule A is a description of all transactions in
Shares effected by Amadeus from December 7, 1995 through December 14, 1995.
All of such transactions were open market sales of Shares.
