State below in reasonable detail the reasons why Form 10-K,
10-KSB, 11-K, 20-F, 10-Q, 10-QSB, N-SAR or the transition report
portion thereof could not be filed within the prescribed time
period. (Attach extra sheets if needed).
The EDGAR software was downloaded via internet to a new computer
system within the last ten days. The filing was prepared and
successfully tested on the new system in sufficient time to permit
timely filing. However, when transmission was initiated, the
configuration of the system was incompatible with the EDGAR software and
the connection failed. By the time the filing was transferred to a
backup, slower computer and the telephonic connection was completed, the
17:30 Eastern Standard Time deadline had passed and the filing was not
completed until 17:34 Eastern Standard Time.
