Re: File No. 70-8559
----------------
Dear Mr. Weeden:
Massachusetts Electric Company, The Narragansett Electric
Company, and Granite State Electric Company (the Applicants)
filed a Form U-1 Application/Declaration dated January 23, 1995,
requesting approval of proposed financial assistance to their
customers as a complement to their respective demand side
management programs as approved by state rate regulatory bodies
in Massachusetts, Rhode Island, and New Hampshire. After review
of this filing with your staff, it has become apparent to the
Applicants that these programs and the proposed financial
assistance are within the ordinary course of business and that
the exemption in Rule 40(a)(4) would cover the proposed financial
assistance. Therefore, the Applicants hereby withdraw in its
entirety Form U-1 Application/Declaration in the above captioned
file.
Sincerely,
Massachusetts Electric Company
