Supplement to the Current Prospectus
MFS Fund Distributors, Inc. (MFD), the distributor of each
of the above-named Funds, will pay all registered representatives
of INVEST (INVEST Representatives), with the exception of such
representatives at certain banks, additional compensation based on
gross commissionable sales of shares of the above-named Funds and
of MFS Regatta Gold and of MFS Regatta-New York annuity contracts
made during the period March 1, 1995 through April 28, 1995
(unless extended by MFD), as follows: for sales levels of $250,000
or more, a charge card gift check ranging in value from $300 to
$1,100; in addition, certain INVEST Representatives (and their
sales managers) who have achieved certain other sales goals will
be eligible to receive additional credit card gift checks ranging
in value from $500 to $1,500, sponsored luncheons and other gifts.
