extended by MFS Fund Distributors,  Inc. ("MFD")) (the "Sales Period"), MFD will
pay Glenfed Brokerage  Services  ("Glenfed") an additional 1.00% of the purchase
price on sales of up to $1 million of Class A shares of each of the above-listed
Funds sold by Glenfed during the Sales Period.
