SUPPLEMENT TO PROSPECTUS DATED FEBRUARY 1, 1996
Rogge Global Partners plc (the "Adviser"), the Fund's investment
adviser, was acquired by United Asset Management Corporation ("UAM") by means of
an exchange of stock, on August 28, 1996. The Adviser is now a wholly-owned
subsidiary of UAM. The Adviser will continue to conduct business under its
current name at its current location. The individuals currently responsible for
portfolio management of the Fund will continue in that capacity.
The Board of Trustees and the shareholders of the Fund have approved a
new investment advisory agreement with the Adviser as a result of the
Acquisition. The terms of the new investment advisory agreement are identical in
all material respects to those of the previous advisory agreement with the
exception of the effective date and the termination date.
