Amendment No. 2 to Schedule 14D-1
        
        This Amendment No. 2 amends and supplements the Statement on Schedule
14D-1 originally filed with the Securities and Exchange Commission on August 14,
1995 by SPRT Corp., a Florida corporation (the "Purchaser"), and Loewen Group
International, Inc., a Delaware corporation, as bidders, as amended (the
"Statement"), with respect to the Purchaser's offer to purchase all outstanding
shares of Common Stock, par value $0.40 per share (the "Shares"), of MHI Group,
Inc., a Florida corporation, for $10.25 per Share, net to the seller in cash.

        Unless otherwise indicated, the information set forth in the Statement
remains unchanged and each capitalized term not defined herein shall have the
meaning assigned to such term in the Statement.

ITEM 10. ADDITIONAL INFORMATION

        The response to Item 10 is hereby amended by adding the following 
statement:

        On September 11, 1995, Parent and Purchaser extended the Offer until 
12:00 midnight, New York City time, on September 18, 1995 to allow its 
applications for certain regulatory licenses for the operation of the Company's
cemeteries to be approved by the Florida Department of Banking and Finance, 
Board of Funeral and Cemetery Services (the "Board"). The Department of Banking 
has recommended the approval of the applications at a meeting of the Board 
scheduled for September 18, 1995.

        A copy of the press release announcing the extension of the Offer is 
attached hereto as Exhibit (a)(10) and incorporated herein by reference.

            Loewen Group Extends Offer to Acquire MHI Group Shares

BURNABY, B.C. - The Loewen Group announced today that its wholly owned 
subsidiary, Loewen Group International, Inc. (LGII) is extending its offer to 
purchase all outstanding shares of common stock of MHI Group, Inc. at a price of
$10.25 per share to 12:00 midnight, New York City time, on Monday, September 18,
1995.

LGII is extending the offer pending approval by the Florida Department of 
Banking, Board of Funeral and Cemetery Services of LGII's applications for 
certain regulatory licenses for the operation of MHI's cemeteries. The 
Department of Banking has recommended the approval of the applications at the 
meeting of the Board scheduled for September 18, 1995.

Based upon the latest count of tendered shares provided to LGII by the 
depositary, approximately 5,742,000 shares of MHI common stock have been 
tendered to date. These shares, together with approximately 6.6% of fully 
diluted shares which LGII has the right to acquire through an agreement with a
holder of MHI options, represent approximately 84.8% of the outstanding shares
on a fully diluted basis.
