     In order to  properly  reflect  the effect of certain  transactions  in its
financial statements, the Company is unable to timely file its Form 10-Q for the
quarter ended March 30, 1995.

     The Company  expects to report a  significantly  lower loss from operations
     for the quarter ended March 31, 1995 as compared to the quarter ended March
     31, 1994. The decreased loss from  operations is primarily  attributable to
     the 1994  operating  loss of the New  Dimensions  subsidiary  which  ceased
     operations  effective  December 27, 1994 and to decreased  interest expense
     due to the 1994 debt settlement agreement with the Company's bank lender.
