     In order to  properly  reflect  the effect of certain  transactions  in its
financial statements, the Company is unable to timely file its Form 10-Q for the
quarter ended June 30, 1995.

     The Company expects to report a  significantly  higher loss from operations
     for the three  months  ended June 30, 1995 as compared to the three  months
     ended June 30,  1994.  The  increased  loss from  operations  is  primarily
     attributable to an impairment of goodwill relating to the Company's costume
     jewelry subsidiaries.
