Additional time is required to compile the information  necessary
to file a complete and accurate Form 10-Q.  The Form 10-Q for the
period  ended  July 29, 2000 will be filed as soon  as  practical
when the necessary information is available.

          On  June  1, 2000, Stage Stores, Inc., and certain
          of   its  wholly-owned  subsidiaries,  filed   for
          protection under Chapter 11 of the Bankruptcy Code
          in  the  United  States Bankruptcy Court  for  the
          Southern  District of Texas.  It has not yet  been
          fully   determined  what  effect  the   bankruptcy
          proceeding  will have on the results of operations
          of the registrant as compared to the corresponding
          period of the last fiscal year.
