Item 5. Other Events.
On June 5, 1998, the Board of Directors of Registrant declared a
three-for-two stock split of Registrant's $.01 par value Common Stock in the
form of a 50% stock dividend. The stock dividend will be paid on June 30,
1998 to shareholders of record as of June 16, 1998.
