      On December 28, 1994, Farmers National Bancorp ("Bancorp") completed
its merger with First Virginia Banks, Inc. ("First Virginia").  Pursuant to
the Agreement and Plan of Reorganization and the related Plan of Merger,
First Virginia was the surviving corporation.  All outstanding shares of
capital stock of Bancorp were exchanged for cash or stock of First Virginia. 
All Bancorp stock has now been cancelled and the entity has ceased to exist
as a body corporate.  Articles of Merger have been filed in the States of
Virginia and Maryland.

      In view of the fact that the registrant has ceased to exist, it will
not continue to report under Section 13(a) of the Securities Exchange Act of
1934.  This form has been filed to notify the commission of this situation. 
First Virginia Banks, Inc. has also filed a Form 8-K with regard to the
merger.

      This Form 15 has been signed by the successor to the registrant, First
Virginia Banks, Inc.
