CASH II SHARES
Supplement to Prospectus dated December 31, 1993
On or about August 26, 1994, shareholders in New York Municipal
Cash Trust (the "Fund") will vote to approve or disapprove a
proposed Agreement and Plan of Reorganization between the Fund
and Federated Municipal Trust (the "Trust") on behalf of its
portfolio, New York Municipal Cash Trust (the "Portfolio"),
whereby the Trust would acquire all of the assets of the Fund in
exchange for Portfolio shares to be distributed pro rata  by the
Fund to its shareholders in complete liquidation and dissolution
of the Fund.  It is anticipated that Fund shareholders will not
recognize any gain or loss because the transition will be
completed pursuant to a tax-free reorganization.
