Item 1.  Description of Proposed Transactions

         National Fuel Gas Company ("National") is a public utility 
holding company registered under the Public Utility Holding Company 
Act of 1935, as amended.  Seneca Resources Corporation ("Seneca") is 
a wholly-owned subsidiary of National, and is a "Participating 
Subsidiary" in the National Fuel Gas System Money Pool ("System Money 
Pool").

         By notice in this proceeding dated November 12, 1993 (HCAR 
No. 35-25925), the SEC published notice of the request of National to 
continue the operation of its System Money Pool and to establish 
borrowing limits from the System Money Pool for each of the 
Participating Subsidiaries.  Seneca and Empire Exploration, Inc. 
("Empire"), another Participating Subsidiary, requested borrowing 
limits of $120,000,000 and $50,000,000 respectively.  By Order dated 
December 29, 1993 (HCAR No. 35-25964), the Commission authorized 
borrowing limits of $100,000,000 and $30,000,000 for Seneca and 
Empire respectively.  The Commission reserved jurisdiction over the 
remaining $40,000,000 of borrowings ($20,000,000 for Seneca, 
$20,000,000 for Empire.

         Subsequent to the December 29, 1993 Order, Empire was merged 
into Seneca and the Companies' borrowing authorities from the System 
Money Pool were combined (SEC File No. 70-8385, HCAR No. 35-26036 
dated June 29, 1994).  As a result of such merger, Seneca currently 
has authority to borrow up to $130,000,000 from the System Money 
Pool.  The Commission has continued to reserve jurisdiction over the 
remaining $40,000,000 of borrowings by Seneca.

         Because of relatively low oil and gas prices, Seneca has 
determined to postpone placing into production a portion of its 
proved developed properties.  Those low prices, and the delay in the 
commencement of production will cause Seneca's cash flow to be lower 
than originally anticipated.  Additionally, the current relatively 
low oil and gas prices have presented attractive investment 
opportunities for further oil and gas exploration prospects.  Seneca 
recently participated in a federal offshore lease sale and expects 
that it will need short-term funds to develop those properties.  
These factors have caused Seneca to revise its cash flow projections.  
Such revised projections are provided in Exhibit S-5.  These 
projections show that Seneca may need to borrow an additional 
$40,000,000 during the last six months of calendar 1995.

         Accordingly, National has filed this Post-Effective 
Amendment No. 3 to request the Commission to release jurisdiction 
over the remaining $40,000,000 of borrowings requested by Seneca so 
that its borrowing authority from the System Money Pool would total 
$170,000,000 through December 31, 1995.

         Repayment of the borrowings is expected to be made from 
internally generated funds (revenues received when proved developed 
properties are placed into production), and from the issuance of long 
term and/or medium term debt.

of the Act and Rules 23, 24, 40(a), 43, and 45 are considered 
applicable to the proposed transactions.

Item 5.  Procedure

         The Commission is requested to issue an Order permitting 
this Post-Effective Amendment to become effective on or before

August 1, 1995 so that working capital may be made available to 
Seneca to continue its exploration and production activities.
