Item 1. Amended to Add the Following:
The applicants hereby withdraw in its entirety
Post-Effective Amendment No. 1 to this
Application/Declaration ("Amendment No. 1"). The
Commission's staff has pointed out to the Applicants that
most of the types of transactions described in Amendment No.
1 are already authorized by Rule 52(d) (17 CFR Section
250.52(d)). The Applicants have therefore concluded that
they do not at this time require the additional authority
sought by Amendment No. 1.
Accordingly, the Applicants withdraw their request for
a Commission order. There is no reason to issue any notice
regarding Amendment No. 1 or this Amendment No. 2, and no
need for any Commission order relating thereto.
