1. Delete the following from Item 1 which was added via
Amendment No. 1.
"The Applicant-Declarant represents that the
requirements of rules 53 and 54 are satisfied
with respect to its investments in exempt
wholesale generators ("EWGs") and foreign
utility companies ("FUCOs"), as defined in
sections 32 and 33 of the Act, respectively.
As a result, pursuant to rule 54, the
Commission shall not consider the effect of
the capitalization or earnings of its EWG and
FUCO subsidiaries on the registered holding
company system in determining whether to
approve the proposed transactions."
2. Add the following to the end of Item 1:
"As of June 12, 1996 neither the
Applicant-Declarant or any of its affiliates
has an investment in an EWG or FUCO as those
terms are defined in Section 32 and 33 of
the Act, respectively and none of the
proceeds from the transactions contemplated
hereunder shall be invested in an EWG or
FUCO."
