This Prospectus Supplement relates to re-sales of shares of Common
Stock, $2.50 par value per share, of BancorpSouth, Inc., a Mississippi
corporation (the "Company"), acquired upon the exercise of stock options.
J. Shannon Clark has advised the Company that he intends to sell 2,000
shares acquired upon exercise of options. Such shares will be sold in brokers'
transactions through one or more broker-dealers in market transactions. Normal
