Commencing on March 1, 1994, the Company, authorized by it's
Board of Directors, adopted a Treasury Stock Buyback Program.
With this program, the Company can purchase Common Stock in open
market transactions at prevailing market prices or in privately
negotiated transactions. Purchases are executed in accordance
with parameters established by the Company's Board of Directors
and as market conditions dictate. On August 15, 1995, the
Company's total Treasury Stock owned now aggregates 344,212
shares, which exceeds 5% of the Company's total shares
outstanding.
