Explanation of Responses:
(1) Gift to reporting person's granddaughter who does not share the reporting
person's home.
(2) Gift to reporting person's daughter as custodian for the reporting person's
grandaugher.
(3) The reporting person disclaims beneficial ownership of these securities and
this report shall not be deemed an admission that the reporting person is
the beneficial owner of such securities for purposes of Section 16 or for
any other purpose.
(4) A Rule 16b-3 qualified formula grant under the Company's 1993 Stock Option
Plan.
(5) The option shall become exercisable on December 30, 1997; provided that the
reporting person serves continuously on the Company's board of directors
until such time.
