On August 23, 1994, Blockbuster Entertainment Corporation (the
"Company") announced that its Board of Directors had unanimously reaffirmed its
approval of the Company's proposed merger with Viacom Inc. ("Viacom") and set
September 29, 1994 as the date for the special meeting at which the Company's
stockholders will consider and vote on the merger. The Company's Board of
Directors fixed August 31, 1994 as the record date for the special meeting.
Persons issued shares of the Company's Common Stock pursuant to this
Prospectus after the close of business on August 31, 1994 will not be
stockholders of record entitled to notice of, and to vote at, the special
