(the "Fund") is hereby added to the list of series of Citizens Funds (the
"Trust") to which Citizens Advisers, Inc. ("Citizens Advisers") renders services
as administrator pursuant to the terms of the Management Agreement dated as of

Trust and Citizens Advisers.
