N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The Annual Report on Form 10-K of PaineWebber/CMJ Properties, LP (the
"Registrant") will not be completed by March 30, 1996, the last day for a timely
filing of such Annual Report for the period ended December 31, 1995.
Additional time is required in order to enable the Registrant to file a complete
and accurate report. The Form 10-K will be filed on or before April 15, 1996, in
accordance with Rule 12b-25(b).
