Form U-1 Application/Declaration (Commission File No. 70-6353), as
amended, which became effective by orders of the Commission dated December 21,
1979 (HCAR No. 21354) and March 27, 1980 (HCAR No. 21495), and was amended by
Post-Effective Amendments 1 through 9, is hereby further amended by this Post-
Effective Amendment No. 10 as follows:
By supplying the following exhibits under Item 6:
B-3 (a) FERC Order dated February 9, 1995 accepting Settlement
Agreement.
(b) Stipulation and Agreement tendered on December 7, 1994.
The above mentioned exhibits are supplied in accordance with the terms
of the Orders of the Commission which provide for adjustment to the rate of
return. The most recent rate accepted by FERC in rate proceedings involving
New England Power Company (NEP) provides for the use of an 11.25% return on
equity for purposes of calculating allowances for funds used during
construction. This 11.25% return on equity for NEP will go into effect on
July 12, 1995. NEPSCO will reduce the return on equity that it uses in
calculating its billing commencing July 12, 1995, from 11.7% to 11.25%.

The name "New England Electric System" means the trustee or trustees for the
time being (as trustee or trustees but not personally) under an agreement and
declaration of trust dated January 2, 1926, as amended, which is hereby
referred to, and a company of which as amended has been filed with the
Secretary of the Commonwealth of Massachusetts. Any agreement, obligation or
liability made, entered into or incurred by or on behalf of New England
Electric System binds only its trust estate, and no shareholder, director,
trustee, officer or agent thereof assumes or shall be held to any liability
therefor.
