portion thereof could not be filed within the prescribed time period. (Attach

The Company was not able to complete its financial statements in time to
complete the Form 10-KSB report for the period ended June 30, 1998. The
Company was indebted to its independent auditors and its independent auditors
advised the Company that until such indebtedness was paid, it would not be
able to furnish the Company an independent report.
