Explanation of Responses:
(01) The reporting person is subject to the issuer's policy that restricts trading in the issuer's stock to a limited period
following the issuer's earnings release for the preceding fiscal period.
(02) These stock options were granted at various dates between December 17, 1990 and September 29, 1995 at prices between
$8.29 and $48.38, vest ratably over five years, and expire 10 years from date of grant. The reporting person's
