Explanation of Responses:
(01) Pursuant to the merger of Tandem Computers Incorporated ("TCI") into a wholly owned subsidiary of Compaq Computer
Corporation ("CCC"), each share of TCI common stock held by reporting person was converted into shares of CCC at an
exchange ratio of 0.525 effective as of August 29, 1997. All of the options listed above were issued by CCC in
substitution for options to purchase shares of TCI common stock held by the reporting person and cancelled in connection
with the merger.
