The sole purpose of this Supplement is to modify the category of persons
identified as "Selling Shareholders" under the heading "Selling Shareholders
and Plan of Distribution" in the Prospectus, dated March 29, 1994 (to which
this Supplement is attached), with respect to the shares of Class A Common
Stock of Interface, Inc. otherwise covered by the Prospectus, to include
among the persons who are permitted to use the Prospectus in connection with
sales of such shares persons who are or may become donees or pledgees of the
named Selling Shareholders. No change is being made hereby to the total
number of shares covered for resale using the Prospectus or to include any
