       $150,000,000 principal amount of Ten Year 6 1/4% Notes, due February 15, 
       2004, issued under an Indenture dated as of June 1, 1993, from the 
       Company to The Chase Manhattan Bank, N.A., Trustee.  A description of 
       the Notes is contained in the Prospectus Supplement dated February 15, 
       1994 to the Prospectus dated October 22, 1993 (see face page and pages 
       S-3, S-4, and 3 through 10 for "Certain Terms of the Notes" and 
       "Description of Securities" therein), incorporated herein by reference.

       $450,000,000 principal amount of Thirty Year 7 1/4% Debentures, due 
       February 15 2024, issued under an Indenture dated as of June 1, 1993, 
       from the Company to The Chase Manhattan Bank, N.A., Trustee.  A 
       description of the Debentures is contained in the Prospectus Supplement 
       dated February 15, 1994 to the Prospectus dated October 22, 1993 (see
