PART III. NARRATIVE
On this date the Registrant learned for the first time that its
liability insurer intends to deny coverage on a sign product of one of the
Registrant's subsidiaries that sustained fire damage in December 1999.
Information furnished prior to this date indicated that insurance coverage would
likely be available either from the Registrant's liability insurer or the
insurance carrier for the sign customer. Due to the timing of these
developments, the Registrant needs additional time to update the financial
information in its Form 10-Q Quarterly Report to take into account the foregoing
matters.
