Explanation of Responses:
Mr. Atanasoff exercised 270,000 non-qualified stock options granted by Colorado MEDtech and he only sold the amount of common
stock necessary to cover his tax liability resulting from the exercise of such options. After the exercise of 270,000 options and
the sale of common stock to pay taxes due, the transaction represented a net increase of 120,000 shares of Colorado MEDtech owned
by Mr. Atanasoff.
