PART III-Narrative
State below in reasonable detail the reasons why the Form 10-K, 11-
K, 10-Q, N-SAR, or the transition report or portion thereof, could
not be filed within the prescribed time period. 

The Registrant is unable to file its quarterly report on Form 10-Q
for the three and nine months ended November 30, 1998 without
unreasonable effort or expense because it has been unable to
quantify the net effect on results of operations and its financial
position arising from recent, retroactive Medicare and Medicaid
audit adjustments.

reasons why a reasonable estimate of the results cannot be made.

During the quarter ended November 30, 1998 the Company has received
Medicare and Medicaid retroactive audit adjustments for which the
full impact on the Company's financial position and net results of
operations have not yet been quantified. The Company anticipates a
material charge to its results of operations for the three and nine
months ended November 30, 1998 and is finalizing the quantification
and presentation thereof with its outside professionals.
