Explanation of Responses:
S* The sale of 2,500 shares was a stock-for-stock transaction. The shares
were valued at the closing price on 3/7/00 at 3-3/4.
(1) This option vested according to the following schedule: 8/10/94 - 1,666
shares; 8/10/95 - 1,667 shares; 8/10/96 - 1,667 shares. 3,333 shares
were exercised on 9/5/95. The remaining 1,667 shares were exercised on
3/7/00.
