State below in reasonable detail the reasons why Form 10-K, and Form 10-KSB,
20-F, 11-K, 10-Q and Form 10-QSB, N-SAR, or the transition report or
portion thereof, could not be filed within the prescribed time period.

On October 23, 1996, the Registrant reached an agreement in principle
with the distributor of its products, to license the manufacturing rights to the
products to the distributor. The agreement will permit the Company to focus
on its core strength of research and development and will alleviate the growing
financial and administrative burden incurred in complying with the increasingly
complex U.S. and foreign regulatory requirements for the manufacture of medical
devices. As a result of this agreement, the Company and its independent
accountants were unable to determine the financial statement effect for the year
ended July 31, 1996, within the prescribed time period.

approximately $350,000 on revenues of $1,712,248, as compared to net income of
$11,070 on revenues of $1,632,247 for the year ended July 31, 1995.
